1. The Company

The Site is provided by Ghost Vision Studios, LLC dba Ecto+™, 4539 N 22ND ST STE B, PHOENIX, AZ 85016, reachable at info@wwatchectoplus.com ("Ecto+", "we", "us", or "our").

2. Eligibility and Acceptance

You must be at least 13 years old to use the Site and at least 18 years old, or the age of majority in your jurisdiction, to submit a contact inquiry or enter into any agreement with us. By using the Site you represent that you meet these requirements and that any information you provide is accurate and your own.

3. Informational Nature of the Site

The Site is a preliminary announcement presence. All content is provided for general informational purposes only and is subject to change or withdrawal at any time without notice. Nothing on the Site constitutes an offer, commitment, guarantee, solicitation of investment, or binding representation regarding any product, service, programming, launch timing, or business plan. Nothing on the Site creates an employment, agency, partnership, joint venture, or fiduciary relationship.

4. Intellectual Property

The Site and all content on it — including text, graphics, imagery, layout, design, logos, the Ecto+™ name and mark, and all associated trade dress — are owned by or licensed to Ghost Vision Studios, LLC and are protected by United States and international copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your personal, non-commercial use. All rights not expressly granted are reserved.

5. Prohibited Conduct

You agree not to copy, reproduce, republish, frame, mirror, distribute, sell, license, or create derivative works from Site content without our prior written permission; remove or obscure any proprietary notice; use the Site for unlawful, infringing, defamatory, harassing, or fraudulent purposes; submit false, misleading, or impersonating information; transmit malware, spam, or bulk unsolicited communications; use bots, scrapers, crawlers, or automated means to access, harvest, or index the Site other than as permitted by our robots directives; probe, scan, or test the vulnerability of the Site or circumvent any security or rate-limiting measure; or interfere with the operation of the Site or the experience of other users.

6. Submissions and Unsolicited Ideas

Any material you send us — including ideas, concepts, pitches, formats, footage descriptions, stories, suggestions, or feedback — is submitted voluntarily and on a non-confidential basis, and no confidential or fiduciary relationship is created by your submission. Except for personal information, which is handled under our Privacy Policy, you grant Ecto+ a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, and exploit such material for any purpose without compensation, credit, or further obligation to you. You represent that you own or control all rights in what you submit. We may already be developing, or may independently develop, material similar to your submission, and you agree that we owe you no obligation in that case.

7. Merchandise and Third-Party Links

Merchandise shown on the Site is fulfilled through third-party listings, and clicking a merchandise link takes you to a site we do not operate. Prices, availability, descriptions, taxes, shipping, returns, and payment processing are governed entirely by that third party's terms and policies. Ecto+ does not process payments on this Site and is not a party to your transaction with any third-party seller. Links to third-party sites are provided for convenience and do not constitute endorsement; we are not responsible for their content, availability, security, or practices.

8. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. When you submit our contact form you must affirmatively consent to our use of the information provided to respond to your inquiry.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any content is accurate, complete, or current. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GHOST VISION STUDIOS, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00).

11. Indemnification

You agree to defend, indemnify, and hold harmless Ghost Vision Studios, LLC and its members, managers, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or connected with your use of the Site, your submissions, or your breach of these Terms or of any applicable law or third-party right.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally by contacting info@wwatchectoplus.com. If a dispute is not resolved within thirty days, it will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction and venue there. To the extent permitted by law, each party waives any right to a jury trial and to participate in a class or representative action. Any claim must be brought within one year after it arises.

13. Modification, Suspension, and Termination

We may modify, suspend, or discontinue any part of the Site at any time without notice or liability, and we may restrict or terminate your access if we believe you have violated these Terms. We may also revise these Terms; the revised version takes effect when posted, and your continued use of the Site constitutes acceptance.

14. General Provisions

These Terms, together with the Privacy Policy, are the entire agreement between you and Ecto+ regarding the Site. If any provision is held unenforceable, it will be limited or severed and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Sections addressing intellectual property, submissions, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination. We are not liable for delays or failures caused by events beyond our reasonable control.
